Agreement governing your use of Gross GTB services

1. Acceptance of Terms
By opening an account or using any services provided by Gross GTB ("we," "us," "our"), you ("you," "your") agree to be bound by these Terms of Service and all applicable laws and regulations. If you do not agree with any of these terms, you may not use our services.
These Terms of Service constitute a binding legal agreement between you and Gross GTB Corporation.
2. Account Opening and Eligibility
2.1 Eligibility Requirements
To open an account with Gross GTB, you must:
- Be at least 18 years of age
- Be a U.S. citizen or lawful permanent resident
- Provide a valid Social Security number or Tax Identification Number
- Provide accurate and complete information during the application process
- Maintain a valid U.S. address
2.2 Account Application
We reserve the right to approve or deny any account application in our sole discretion. We may verify the information you provide using third-party services, including credit bureaus and identity verification services.
3. Account Terms and Conditions
3.1 Account Ownership
You are solely responsible for all activity in your account. You must keep your account information, including your password and security credentials, confidential.
3.2 Deposits and Withdrawals
- All deposits are subject to verification and collection
- We may place holds on deposited funds according to our Funds Availability Policy
- Withdrawals are subject to available balance and daily limits
- We reserve the right to refuse any deposit or withdrawal
3.3 Minimum Balance Requirements
Certain accounts may require minimum balance requirements. Failure to maintain the required minimum balance may result in fees or account closure.
3.4 Account Statements
We will provide monthly account statements electronically or by mail. You must review your statements and report any errors or unauthorized transactions within 60 days.
4. Fees and Charges
You agree to pay all fees and charges associated with your account as disclosed in our Fee Schedule. Fees may include but are not limited to:
- Monthly maintenance fees
- Overdraft and insufficient funds fees
- ATM fees
- Wire transfer fees
- Stop payment fees
- Account closure fees
We reserve the right to change our fees upon 30 days' notice.
5. Overdrafts and Insufficient Funds
You are responsible for ensuring sufficient funds are available in your account for all transactions. If you overdraw your account:
- We may charge an overdraft fee for each transaction
- We may return items unpaid and charge a returned item fee
- You must repay the negative balance immediately
- We may close your account if overdrafts are not resolved promptly
6. Electronic Banking Services
6.1 Online and Mobile Banking
By using our online and mobile banking services, you agree to:
- Keep your login credentials secure and confidential
- Use strong passwords and change them regularly
- Enable multi-factor authentication when available
- Notify us immediately of any unauthorized access
6.2 Bill Pay Services
Our bill pay service allows you to make payments to third parties. You are responsible for ensuring payment instructions are accurate and submitted with sufficient time for processing.
6.3 Mobile Deposits
When using mobile check deposit, you must:
- Endorse checks as directed
- Submit legible images
- Retain the original check for 60 days
- Not deposit the same check multiple times
7. Security and Fraud Prevention
You agree to take reasonable precautions to protect your account from unauthorized access and fraud. You must notify us immediately if:
- You suspect unauthorized account activity
- Your debit card is lost or stolen
- You become aware of any security breach
- You receive suspicious communications claiming to be from Gross GTB
8. Liability and Disclaimers
8.1 Limitation of Liability
Gross GTB shall not be liable for any indirect, incidental, special, or consequential damages arising from your use of our services, except as required by law.
8.2 Service Availability
While we strive to provide uninterrupted service, we do not guarantee that our services will be available at all times. We may perform maintenance, updates, or modifications that temporarily interrupt service.
9. Account Closure and Termination
Either you or Gross GTB may close your account at any time:
- You may close your account by contacting us or visiting a branch
- We may close your account for any reason with notice as required by law
- We may close your account immediately if we suspect fraud or illegal activity
- You remain liable for all fees and negative balances after closure
10. Dispute Resolution
10.1 Arbitration Agreement
Any dispute or claim arising out of or relating to these Terms or our services shall be resolved by binding arbitration, rather than in court, except as otherwise required by law.
10.2 Class Action Waiver
You agree that any arbitration or proceeding shall be limited to the dispute between you and Gross GTB individually. Class action lawsuits and class-wide arbitration are not permitted.
11. Changes to Terms
We may modify these Terms of Service at any time. We will provide notice of material changes as required by law. Your continued use of our services after changes become effective constitutes acceptance of the modified terms.
12. Governing Law
These Terms of Service are governed by the laws of the State of New York and applicable federal law, without regard to conflict of law principles.
